GUEST PARTICIPATION AGREEMENT & RELEASE OF LIABILITY

GUEST PARTICIPATION AGREEMENT, ASSUMPTION OF RISK, RELEASE OF LIABILITY & TERMS
This Guest Participation Agreement (the “Agreement”) is entered into between Live Luxe Travel LLC, a California limited liability company (“LLT”), and the undersigned guest participant (“Guest”). By booking, paying a deposit, checking a box acknowledging acceptance, electronically signing, or participating in the Sabor Culinary Experience (the “Experience”), Guest agrees to be bound by this Agreement. Guest confirms that they have had the opportunity to review this Agreement prior to booking. The Agreement, together with LLT’s booking invoice/checkout terms and any written addenda expressly issued by LLT, constitutes the complete agreement between LLT and Guest. Any additional or different terms proposed by Guest are rejected unless expressly accepted in writing signed by LLT.
Guest acknowledges that participation in the Experience constitutes a customized, limited-capacity travel program with advance contractual commitments to third-party suppliers, and that booking the Experience confirms Guest’s understanding of the nature, structure, and non-refundable financial obligations associated with such arrangements.
1. Experience Description
The Experience is a hosted, multi-day, shared culinary travel experience including accommodations, meals, programming, excursions, and group activities, taking place at a private villa in Costa Rica from May 22-26, 2026. LLT reserves the right to vary itineraries due to operational reasons beyond our control, or for the benefit of the entire group experience.
This is a 21+ experience.
The experience includes:
· Villa accommodations
· Roundtrip transfers to and from the SJO or Quepos airport
· Meals including breakfast, lunch, and dinner which will be designated and announced for a particular time each day
· A Chef-led culinary exploration activity
· One signature spa treatment
· Optional wellness activity
· A grand finale supper club experience
The experience excludes Airfare, mandatory travel insurance, gratuities for villa staff, chefs, drivers, or service providers, optional excursions or activities not specifically listed as included, food and beverages consumed outside of the villa, additional food and beverages requested as part of provisioning outside of the provided breakfast, lunch, and dinner meals, spa services beyond the included massage or spa treatment, or any personal expenses incurred during the stay are not included. All optional activities and additional services may be arranged separately based on guest preference and availability.
Experience and Property Notice: This experience is curated for a limited group and requires a minimum number of confirmed guests to operate. In the event the minimum guest count is not met sixty (60) days prior to the experience, the villa property is subject to change.
Any alternate property selected will be of comparable caliber and will deliver the same uncompromising standard of luxury, privacy, and immersive comfort as the original villa property showcased.
Should a date change be required due to lack of participants, guests will be contacted and offered a full credit towards the alternative dates, or offered a full refund of deposits and payments made.
LLT may substitute suppliers, experiences, staffing, transportation providers, menu items, and/or included activities due to availability, weather, safety, government restrictions, or other circumstances beyond LLT’s reasonable control, provided that LLT will use commercially reasonable efforts to maintain the overall quality and character of the Experience.
2. Assumption of Risk
Guest understands and voluntarily assumes all risks, known and unknown, associated with participation in the Experience, including but not limited to:
· Travel risks (air, ground, water transportation)
· Food preparation and consumption
· Alcohol consumption
· Physical activity
· Weather conditions
· Shared accommodations and common spaces
· Acts or omissions of third parties
· Illness, injury, allergic reactions, or medical emergencies
Without limiting the foregoing, Guest acknowledges risks associated with the international travel in Costa Rica, including but not limited to road conditions, wildlife and insects; ocean/water activities; slips, trips and falls; crime or theft, foodborne illness; changes in local conditions; and limited access to emergency or specialized medical services. Guest assumes all such risks.
Guest acknowledges participation is voluntary and undertaken at Guest’s own risk.
3. Release of Liability
To the fullest extent permitted by California law, Guest hereby releases, waives, discharges, and holds harmless Live Luxe Travel LLC, its owners, officers, employees, contractors, agents, partners, vendors, featured chefs, affiliates, and representatives (collectively, the “Released Parties”) from any and all claims, demands, liabilities, losses, damages, injuries, or expenses arising out of or related to:
· Participation in the Experience
· Travel to or from the Experience
· Acts or omissions of third-party suppliers (villa owners, transportation providers, chefs, guides, etc.)
This release includes claims based on negligence, but does not apply to gross negligence or wilful misconduct.
Guest acknowledges that featured chefs and other talent participating in the Experience are independent contractors and are not employees, agents, joint venturers, or partners of LLT, and that LLT retains sole responsibility for the coordination and administration of the Experience.
Third-Party Suppliers: Many components of the Experience are provided by independent third parties not under LLT’s direct control. LLT is not responsible for the acts, errors, omissions, representations, warranties, breaches, or negligence of any third-party supplier, nor for any personal injury, death, property damage, or other loss, delay, inconvenience, or expense arising from such suppliers or from causes beyond LLT’s reasonable control.
Indemnification: Guest agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) Guest’s breach of this Agreement, (ii) Guest’s negligent or willful acts or omissions, or (iii) Guest’s violation of law or the rights of any third party during or in connection with the Experience.
Limitation of Liability: To the fullest extent permitted by law, in no event shall LLT’s aggregate liability for any claim arising out of or relating to the Experience exceed the total amounts actually paid by Guest to LLT for the Experience. In no event shall LLT be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages.
4. Medical Fitness & Responsibility
Guest certifies that they are physically and mentally fit to participate. Guest is responsible for:
· Disclosing dietary restrictions and allergies
· Carrying necessary medications
· Obtaining appropriate medical care
LLT does not provide medical services.
Emergency Authorization: In the event of a medical emergency, Guest authorizes LLT and/or its representatives to obtain or assist in obtaining emergency medical care for Guest. Guest is solely responsible for all costs of medical care and related transportation.
5. Required Travel Insurance & Travel Protection Notice
Guest must carry and show proof of travel insurance prior to the Experience date, including:
· Trip cancellation/interruption
· Medical coverage
· Emergency evacuation
Failure to secure insurance does not relieve Guest of financial responsibility. Coverage should include, at minimum, trip cancellation/interruption and emergency medical coverage. Cancel For Any Reason (CFAR) coverage is strongly recommended.
Proof of Insurance: LLT may at its discretion require Guest to provide proof of coverage no later than fourteen (14) days prior to the Experience start date. Failure to provide proof upon request may be treated as a material breach and may result in cancellation without refund, subject to applicable law.
Guests are advised not to book flights until the experience is officially confirmed 60 days prior to the experience, and the minimum guest threshold has been met. Once confirmed, we strongly recommend booking refundable or flexible airfare only, or ensuring your travel insurance adequately covers non-refundable purchases.
Sabor and Live Luxe Travel are not responsible for expenses incurred due to changes, cancellations, or delays outside of the confirmed experience dates, including airfare or independently booked travel components.
Live Luxe Travel may assist in providing you with a quote for comprehensive travel insurance should you need assistance.
6. Travel Documents
Guest accepts full responsibility to ensure that all visa and passport requirements are met. All guests must be in a possession of a valid passport before travel; LLT recommends at least six (6) months validity beyond return to reduce the risk of carrier or entry denial. LLT may provide general resources upon request but does not guarantee entry, boarding, or visa issuance.
7. Payments, Cancellations, & Refunds
All payments are subject to the cancellation and refund policy disclosed at booking and incorporated herein by reference.
Guest understands:
· Deposits are non-refundable
· Minimum guest count is required for the Experience to proceed
· LLT reserves the right to cancel or modify the Experience if minimum participation is not met; in the event of cancellation by LLT, deposits and payments are refundable
Cancellations by Guest: (a) If Guest cancels within sixty (60) days prior to the Experience start date, Guest forfeits the non-refundable deposit and any additional amounts paid. (b) If Guest cancels more than sixty (60) days prior to the Experience start date, Guest forfeits the non-refundable deposit; any additional amounts paid are refundable only if LLT receives Guest’s written cancellation request on or before March 22, 2026. All cancellation and refund requests must be made in writing to LLT. Any approved refund will be reduced by any non-refundable third-party costs already incurred on Guest’s behalf (if any), and any applicable processing/handling fees to the extent permitted by law.
Minimum Guest Threshold / LLT Cancellation: If the minimum guest count is not met sixty (60) days prior to the Experience, LLT may (i) change the property to a comparable alternative, (ii) modify the itinerary, and/or (iii) offer Guest the option to transfer amounts paid to alternative dates or receive a refund of amounts paid to LLT (including deposit), as described in the Experience and Property Notice above.
8. Featured Chef Contingency
Guest acknowledges that participation by any featured chef is subject to circumstances beyond LLT’s control. If a featured chef is unable to participate due to illness, emergency, or Force Majeure, the Experience may continue with the villa culinary team and/or alternate programming and chefs. Except as expressly stated in writing by LLT at the time of booking, no refunds will be due solely due to a change in featured chef participation.
9. Media Release
Guest grants LLT the irrevocable right to use photographs, video, and audio recordings captured during the Experience for marketing, promotional, and commercial purposes without compensation.
If Guest does not wish to appear in marketing content, Guest must notify LLT in writing prior to the Experience; LLT will use commercially reasonable efforts to honor the request, but cannot guarantee exclusion from incidental background capture.
10. Conduct and Removal
LLT reserves the right to remove any Guest whose behavior is disruptive, unsafe, harassing, discriminatory, illegal, or otherwise inappropriate, without refund, if LLT determines (in its reasonable discretion) that removal is necessary to protect the safety, comfort, or enjoyment of others or the integrity of the Experience.
11. Reservation of Rights
Every effort will be made to ensure that each Experience follows the contents of the initial itinerary. However on occasion, conditions or situations beyond our control may require a revision, offer substitutes or cancel the whole or any portion of the Experience, should conditions necessitate. The right is also reserved to decline the acceptance of any person as a guest of the Experience should the presence of that person be prejudicial to the good conduct of the Experience.
12. Force Majeure
Live Luxe Travel LLC shall not be liable for any failure or delay in performance under this Agreement due to events beyond its reasonable control, including but not limited to acts of God; natural disasters; severe weather; fire; flood; earthquakes; epidemics or pandemics; public health emergencies; government orders or travel restrictions; war; terrorism; civil unrest; labor disputes; transportation failures; power outages; or failure of suppliers or venues (“Force Majeure Event”).
In the event a Force Majeure Event materially impacts the Experience, LLT reserves the right to modify, postpone, relocate, or cancel the Experience in its sole discretion. Refunds, if any, will be limited to amounts recovered from third-party suppliers and/or amounts LLT elects to refund consistent with the cancellation policy. Guest is responsible for pursuing reimbursement for any additional losses through Guest’s travel insurance provider.
13. Governing Law & Venue
This agreement is governed by the laws of the State of California. Any dispute shall be resolved exclusively in the state or federal courts located in California.
14. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Experience and supersedes all prior communications. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect (Severability). LLT’s failure to enforce any provision shall not constitute a waiver (No Waiver). This Agreement may be executed and delivered electronically, and electronic acceptance constitutes a binding signature (Electronic Signatures).
